Terms of Service

Welcome to Wraita. These Terms of Service ("Terms") govern your access to and use of the Wraita website, application, real-time collaboration services, screenplay conversion engine, and browser-based editors (collectively, the "Service").

Please read these Terms carefully before creating an account or using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you may not access or use the Service.

1. User Accounts and Eligibility

To access certain features of the Service, including saving documents to the cloud, collaborating with other authors, or utilizing AI assistance, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your credentials (including your password and account session state).
• Accept all responsibility for activities that occur under your account, whether authorized by you or not.
• Promptly notify us at security@wraita.com if you suspect any unauthorized access or security breach.

2. Account Tiers and Plan Descriptions

Wraita offers three distinct account tiers to support writers at various levels of their careers:

A. Free Account

The Free Account is designed for individual screenwriters and small teams. It includes standard professional screenplay formatting (Courier 12pt, Hollywood margin rules), secure cloud synchronization, basic real-time collaboration, and DOCX/Word document exports. This tier is free forever and does not require a credit card.

B. Pro Account

The Pro Account is designed for advanced screenwriters requiring rich productivity enhancers. It includes everything in the Free Account, plus on-demand AI writing assistance (dialogue rewrites, scene expansions, smart proofreading), unlimited automated screenplay conversions, and priority customer service. Pro subscription pricing and terms are presented during checkout.

C. Enterprise Account

The Enterprise Account is tailored for professional writers rooms, independent studios, and enterprise-grade productions. It includes advanced administrative panel controls, role-based collaborator access management, dedicated account managers, custom SLA support, and specialized security audits. Enterprise billing is governed by separate production contracts.

3. Intellectual Property Rights

Your Content Ownership (The Screenwriter's Safe Harbor)

Your creative work is entirely yours. Wraita does not claim any license, copyright, distribution rights, or ownership over your screenplays, outlines, comments, characters, or structural ideas (collectively, "User Content").

You grant Wraita only the limited, non-exclusive, worldwide, royalty-free license strictly necessary to execute the technical mechanics of the Service on your behalf. This includes displaying your scripts on your browser, synchronizing edits across your devices, transmitting encrypted edits to authorized collaborators, storing backups in the Firestore database, and processing specific highlighted lines through our AI interface when triggered by you.

Wraita's Platform IP

The Service, including the design of the editor, custom css styles, brand logos, code, server infrastructure, proprietary conversion parser algorithms, and visual interfaces, are the exclusive property of Wraita and its licensors, protected by copyright, trademark, and other laws.

4. AI-Assisted Writing Features & Fair Use

For Pro and Enterprise users, Wraita provides built-in AI assistance. These features are designed to enhance your workflow under the following strict boundaries:

• On-Demand Execution Only: The AI assistant never scans, processes, or transmits your creative writing in the background. It is triggered only when you highlight a block of text and select an action (e.g. "Expand Scene", "Suggest Next Beat", "Improve Dialogue").
• No Model Training: Your script content is strictly processed on-the-fly and is never stored, retained, or used by Wraita or our third-party LLM providers to train machine learning foundation models. Your screenplays remain completely confidential.
• Factual and Creative Responsibility: AI output is provided "AS IS". You hold sole creative and legal responsibility for incorporating any AI-suggested content into your scripts. Wraita makes no warranties regarding the uniqueness, copyrightability, or originality of AI-suggested text blocks.
• Abuse & Fair Use Limits: You are prohibited from using automated scripts or robots to scrape, batch-submit, or overload Wraita's AI servers. System abuse may result in temporary or permanent suspension of your Pro status without refund.

5. Acceptable Conduct & Prohibited Activities

You agree not to engage in any of the following prohibited behaviors while using Wraita:

• Violating any local, state, national, or international laws or regulations.
• Attempting to bypass security rules, access other users' private screenplays, or reverse-engineer the editor’s real-time synchronizer.
• Using the platform to distribute computer viruses, malicious code, or phishing material.
• Harassing other collaborators, sending unsolicited spam within collaboration invites, or submitting fraudulent diagnostics to the support team.

6. Term, Cancellation, and Deletion

These Terms remain in effect until your account is terminated or deleted. You have the right to delete your Wraita account at any time via the Settings panel. When you click "Delete Account":

• All scripts, collaborator connections, profile records, and backups owned by your account are permanently and irreversibly deleted from our live databases.
• This action is completely final. You must export your work to DOCX before deleting your account, as Wraita cannot recover deleted documents.

7. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WRAITA DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WRAITA, ITS DIRECTORS, EMPLOYEES, AND PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA LOSS, CREATIVE DISRUPTION, OR SYSTEM DOWNTIME, RESULTING FROM (I) YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY COLLABORATOR ON YOUR PROJECTS; OR (III) THE PERFORMANCE OF THIRD-PARTY APIS (INCLUDING FIREBASE DATABASE SERVICES AND AI APIS). ALWAYS BACK UP YOUR INTELLECTUAL PROPERTY BY DOWNLOADING DOCX COPIES REGULARLY.

8. Governing Law and Amendments

These Terms shall be governed and construed in accordance with the laws of the jurisdiction of the hosting service provider, without regard to its conflict of law provisions.

We reserve the right to update or modify these Terms at any time. If a revision is material, we will provide a notice on the application login interface or send an email to registered writers. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
